If you are on a corporate or even home network, or even if your PC is a stand alone computer, your Computer Administrator (the person who looks after your computer) has disabled task manager. This is common on networks where the administrator doesnt want you to see what programs are running on the computer, or if they are high on security and dont want you accessing your computer. If you need access to Task manager, then I suggest you speak to your Administrator. If your computer is a stand-alone PC you bought from a computer store, you might need to give them a call. Make sure you ask anyone else who uses the computer as well.

Hope this helps.

Remember to click the scales icon in the top-right of my post if I have helped.
Thanks

Check Local Machine Policy settings.

Are you running XP Home or XP Pro?

It's likely your computer may have contracted a virus that prevents you from accessing the task-mananger (and thus killing the process)

As 1337_d00d suggests, this is symptomatic of a virus infection. Try HouseCall:

http://housecall.trendmicro.com/

If you are on XP, you should also install Microsoft AntiSpyware Beta:

If I've posted some code above, you might think it looks a bit simplistic. It might be. I'd rather people tried the next step themselves rather than getting a full solution on a plate. That way they learn more!

If what is suggested above does not work, try using WinXP System Restore utility, hopefully you can go back to when you didn't have problems.
If all else fails, I'd reinstall my OS if I were you.

I agree with you lewy. It smacks of virus infection of the most severe kind. I had exactly the same type of symptoms on my Windows 2000 server (hosted) and the ISP was not happy until the hard drive was swapped out and the OS re-installed
